This Terms of Service ("Agreement") is a legal agreement between you ("Licensee" or "you") and XSource Information Technologies ("we," "us," or "Licensor") governing your use of the skAIT platform and any related software, APIs, or services (collectively, the "Software").
By creating an account or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use skAIT.
Subject to the terms of this Agreement and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use skAIT solely for your internal business operations as a managed service provider.
You may not:
Access to skAIT requires a paid subscription. Fees are charged per technician per month as described on the pricing page. Subscriptions auto-renew unless cancelled. We reserve the right to suspend access for non-payment after reasonable notice.
You retain ownership of all data you input into skAIT, including client records, tickets, invoices, and device information ("Your Data"). You grant us a limited license to store and process Your Data solely to provide the service. We do not claim ownership of Your Data and do not sell it.
skAIT integrates with third-party services (QuickBooks Online, Microsoft 365, MSP360, Slack, and others). Your use of those integrations is also governed by those services' respective terms. We are not responsible for the availability, accuracy, or behavior of third-party services.
The Software, including all underlying code, design, trademarks, and documentation, is the property of XSource Information Technologies and protected by applicable intellectual property laws. Nothing in this Agreement transfers ownership of the Software to you.
Each party agrees to keep the other's confidential information (including pricing, technical architecture, and client data) confidential and not disclose it to third parties without prior written consent, except as required by law.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XSOURCE INFORMATION TECHNOLOGIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.
Either party may terminate this Agreement with 30 days' written notice. We may terminate immediately for material breach, non-payment, or misuse of the Software. Upon termination, your access to the Software will be suspended and your data will be retained for 30 days before deletion.
This Agreement is governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Fulton County, Georgia.
We may update this Agreement from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Software after the effective date constitutes acceptance of the revised terms.
