This Subscription Agreement ("Agreement") is between XSource Information Technologies Inc. ("XSource," "we," or "us") and the subscriber ("Subscriber" or "you") identified during signup, entered into as of the date Subscriber accepts these terms.
XSource will provide Subscriber access to the skAIT PSA platform under the plan Subscriber selects at signup ("Plan").
Subscriber may be offered a free trial period. The trial start date, trial end date, and any promotional terms will be displayed to Subscriber at signup and confirmed by email. No payment is required during the trial period.
3a. Billing Start. Paid subscription begins on the trial end date shown at signup ("Billing Start Date").
3b. Monthly Fee. Subscriber will be billed the per-technician seat rate for the selected Plan, multiplied by the number of active technicians, on the same day of each month as the Billing Start Date.
3c. Billing Information Deadline. Subscriber must add valid payment information by the Billing Start Date. If valid payment information is not on file by that date, Subscriber's account will be suspended and all associated data will be permanently deleted within 48 hours of suspension.
3d. Automatic Renewal. Subscriptions renew monthly until cancelled. Cancellation must be submitted at least 48 hours before the next billing date to take effect that cycle.
4a. Per-Seat Rate Lock. The per-technician seat rate confirmed at signup is locked for the life of Subscriber's active subscription.
4b. Tier-Based Guarantee. The Rate Lock applies to the current Plan tier only. New optional tiers or add-on modules introduced after the signup date are priced separately and are not covered.
4c. Continuous Subscription Requirement. The Rate Lock requires uninterrupted paid subscription. Cancellation voids the Rate Lock; re-subscription is at then-current pricing.
4d. Third-Party Pass-Through Exclusion. The Rate Lock does not cover costs XSource must pass through as a direct result of third-party pricing changes outside XSource's control, including payment processing fees, communication platform charges, infrastructure cost increases, or costs imposed by third-party providers.
4e. CPI Adjustment. If cumulative U.S. CPI-U exceeds 20% from the subscription start date, XSource may increase the rate by no more than the CPI increase, with 90 days' written notice.
Subscriber owns all data. XSource will not sell or share data except as necessary to operate the service. Data is retained for 90 days after cancellation, then permanently deleted. Subscriber may export data at any time.
Subscriber agrees to use skAIT only for lawful MSP business purposes and may not resell access, reverse-engineer the platform, or use it in violation of applicable law.
XSource's total liability is limited to fees paid in the preceding 3 months. XSource is not liable for indirect, consequential, or incidental damages.
This Agreement is governed by the laws of the State of Georgia, United States. Disputes will be resolved in the state or federal courts of Fulton County, Georgia.
